Welcome to Tuner. These Terms and Conditions ("Terms") govern your use of our website and entertainment scheduling platform (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

Definitions

Our Service is designed to provide entertainment scheduling solutions for apartment complexes, assisted living facilities, hospitality venues, and student housing. By using our Service, you agree to:

• Use the Service only for lawful purposes and in accordance with these Terms
• Provide accurate and complete information when creating an account
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Not use the Service in any way that could damage, disable, or impair the Service

SMS/Text Messaging Terms

By providing your phone number and opting in to receive SMS/text messages from Tuner, you agree to the following terms:

Consent

By opting in, you consent to receive text messages from Tuner related to your account, service notifications, scheduling alerts, and other communications related to our entertainment scheduling platform. Message frequency may vary based on your account activity and preferences.

Message and Data Rates

Message and data rates may apply. Please consult your wireless carrier for details regarding your text messaging plan and any applicable charges.

Carrier Liability Disclaimer

Carriers are not liable for delayed or undelivered messages.

Tuner and mobile carriers are not responsible for any delays in the delivery of SMS messages, as delivery is subject to effective transmission from your network operator. Tuner does not guarantee that messages will be delivered and is not liable for any messages that are delayed or fail to be delivered.

Opting Out

You may opt out of receiving SMS messages at any time by replying STOP to any message you receive from us. After opting out, you will receive a confirmation message, and no further messages will be sent unless you re-subscribe. You may also contact us at support@tuner.live to opt out.

Supported Carriers

You represent and warrant that you own or have the necessary rights to submit the content and that the content does not violate the rights of any third party.

Payment Terms

• Fees are non-refundable unless otherwise stated
• We reserve the right to change our fees upon reasonable notice
• Failure to pay fees may result in suspension or termination of your access

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so by contacting us or using the account deletion request feature.

Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.

Limitation of Liability

IN NO EVENT SHALL TUNER, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

Indemnification

You agree to defend, indemnify, and hold harmless Tuner and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Collin County, Texas.

Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
